Terms of service

These Terms of Service (the Terms) govern access to Rabona Intel, including its website, dashboards, APIs, embedded tools, Saved Feeds, structured Facts and related services (together, the Service). The Service is provided by Rabona Tech LTD. (Rabona, we, us or our).

1. Business use and authority

The Service is offered only for business and professional use, not for personal, family or household use. If you accept these Terms for an organisation, you represent that you have authority to bind it. “Customer” means that organisation and includes its authorised users. You must be at least 18 years old and legally able to enter into this agreement.

2. Contract documents

These Terms, the Acceptable Use Policy, Privacy Policy, any applicable Data Processing Addendum and any order form or plan confirmation form the agreement. An order form controls only where it expressly conflicts with these Terms. Customer purchase-order terms do not apply unless Rabona expressly agrees in writing.

3. Accounts, organisations and credentials

- Customer must provide accurate account and billing information and keep it current.

- Each login is personal. API keys, session credentials and invitation links must be protected and may not be shared outside the authorised organisation.

- Customer is responsible for its users, integrations and all activity performed with its credentials until Rabona is notified of suspected compromise.

- Customer is responsible for promptly using available controls, or requesting Rabona support, to disable access for users who no longer require it.

- Rabona may require credential rotation or suspend credentials that appear compromised, abusive, dormant or unsafe.

4. Licence and permitted use

During the subscription term and subject to this agreement, Rabona grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right for its authorised users and approved systems to access and use the Service for Customer’s internal news-intelligence, editorial research and workflow purposes. Plan limits, documented API rules and technical safeguards form part of this licence.

No right is granted to resell the Service, operate a competing database, build a substitute product, train or evaluate a general-purpose model on Service output, or systematically republish publisher material, unless an order form expressly allows it.

5. Third-party sources and publisher material

The Service discovers and analyses material made available by independent publishers and other public sources. Rabona does not own, endorse or control that material and is not affiliated with a publisher merely because the Service links to it. Copyright, database rights, trade marks, publicity rights and other rights remain with their respective owners.

Source links and short derived outputs are supplied for discovery, comparison and analysis. Unless Rabona has expressly granted a separate written right, Customer must obtain any permission required to copy, store, display, distribute, syndicate, monetise or otherwise exploit source material. Access through the Service does not establish that a proposed downstream use is lawful. Customer must honour publisher terms, attribution requirements and takedown requests applicable to its own use.

Customer may use factual information and insights obtained from the Service to create its own original editorial work after independent verification. Customer may not reproduce Rabona summaries, extracted blocks or other expressive output verbatim for external publication, or operate automated syndication from them, unless the applicable plan or order form expressly grants that right. A CMS integration does not by itself expand this licence or grant rights in source material.

6. Automated analysis and accuracy

Summaries, classifications, entity matches, sensitivity indicators, betting-suitability indicators, story groupings and Facts are generated or reconciled by automated systems. They can be incomplete, delayed, duplicated, mistranslated, misclassified or wrong. A label such as “confirmed” describes supporting source evidence under Rabona’s methodology; it is not Rabona’s independent verification or warranty of truth.

Customer must review material against the linked sources before publication, trading, wagering, legal action, safety decisions or any decision that could materially affect a person. The Service is not legal, financial, medical, betting or professional advice, and is not an emergency or official results service.

7. Saved Feeds, changes and integrations

Saved Feeds and change streams are query and monitoring tools, not guaranteed delivery services. Results can change as sources update, stories merge or split, classifications improve, and data is corrected or removed. Customer is responsible for integration logic, cursor handling, retries, deduplication, human review and any content it chooses to publish. Rabona is not responsible for actions taken by a CMS, application or agent using Customer credentials.

8. Customer data and instructions

Customer retains its rights in information it submits to the Service, including account configuration, Saved Feed definitions and integration settings (Customer Data). Customer grants Rabona and its subprocessors a worldwide, limited licence to host, copy, transmit and otherwise process Customer Data only as needed to provide, secure and support the Service, comply with law and enforce this agreement. Rabona will not use Customer Data governed by the DPA to train a general-purpose model or for unrelated product development.

Customer represents that it has all rights and lawful bases needed for Customer Data and its processing instructions. Customer must not submit special-category data, payment-card data, authentication secrets for third-party services, children’s data or regulated data unless Rabona has expressly agreed in writing that the Service supports it.

9. Rabona intellectual property

Rabona and its licensors own the Service, software, schemas, APIs, documentation, selection and arrangement of data, models, methods, branding and all related intellectual-property rights. Except for the limited licence in these Terms, no right transfers to Customer. Feedback may be used without restriction or payment, provided Rabona does not identify Customer as its source without permission.

10. Usage limits and service protection

Rabona may enforce request, concurrency, retention, seat, Saved Feed and other plan limits; reject unsafe or malformed requests; and rate-limit or temporarily block traffic that threatens the Service or other customers. Customer may not evade limits by distributing traffic, rotating credentials or creating multiple accounts. Rabona may change reasonable technical limits to protect security, stability, publishers or infrastructure.

11. Fees, renewal, taxes and plan changes

- Paid plans are billed in advance at the price and billing period shown at checkout or in an order form.

- Subscriptions renew automatically until cancelled before the next renewal date.

- Fees are non-cancellable and non-refundable except where required by law or expressly stated in an order form.

- Customer is responsible for applicable taxes other than taxes on Rabona’s net income.

- Failed or overdue payment may result in retries, downgrade, suspension or termination after any legally required notice.

- Rabona may change future pricing on advance notice; the change applies from a later renewal unless the order form states otherwise.

Payment-card details are handled by Rabona’s payment processor; Rabona does not require Customer to provide card details directly to the Service.

12. Trials, previews and free services

Trials, previews, demos and free plans may be changed, limited or withdrawn at any time, are provided without service levels or support commitments, and may contain reduced, delayed or sample output. Rabona may prevent repeated trials or other attempts to avoid paid-plan limits.

13. Suspension and removal

Rabona may immediately suspend or restrict access where reasonably necessary to address a security risk, suspected unlawful activity, material breach, non-payment, harm to publishers or third parties, excessive load, or a binding legal request. Where practicable, Rabona will notify Customer and limit suspension to the affected account, key or feature. Suspension does not waive payment obligations.

14. Term and termination

These Terms apply while Customer accesses the Service. Either party may terminate for a material breach not cured within 30 days after written notice, or immediately where the breach cannot be cured, continued service would be unlawful, or the other party becomes insolvent. Customer may stop renewal through the billing controls made available by Rabona. On termination, access ends and Customer must stop using Service output except to the extent lawfully incorporated into Customer work before termination.

Rabona may retain or delete Customer Data in accordance with the Privacy Policy, DPA and legal obligations. Customer must export any data it needs before termination. Sections concerning fees, intellectual property, disclaimers, liability, indemnity, confidentiality, disputes and general terms survive.

15. Confidentiality

Each party will use the other’s non-public information only to perform this agreement and will protect it with reasonable care. Confidential information excludes information independently developed, lawfully received without restriction or made public without breach. A party may disclose information when legally required after giving notice where lawful. Service credentials, non-public security information and unpublished product plans are Rabona confidential information.

16. Security

Rabona will maintain reasonable technical and organisational measures appropriate to the Service. No internet service is completely secure. Customer is responsible for endpoint security, least-privilege access, credential storage, integration security and backups of data Customer chooses to retain outside the Service.

17. Service changes and availability

Rabona may modify the Service as sources, law, provider terms and technology change. Rabona will not materially reduce the core functionality of a paid plan during its current billing period except where necessary for law, security or third-party rights. The Service may be unavailable because of maintenance, source outages, publisher blocking, upstream changes, network failure or force majeure. No uptime, latency, coverage, retention or support commitment applies unless stated in a signed order form or SLA.

18. Warranties and disclaimers

Each party warrants that it has authority to enter this agreement. To the maximum extent permitted by law, the Service and all outputs are provided “as is” and “as available”. Rabona disclaims implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, quiet enjoyment and any warranty arising from course of dealing. Rabona does not warrant uninterrupted operation, complete source coverage, permanent links, error-free output, delivery by a particular time, or that use of third-party material will be lawful for Customer’s purpose.

19. Customer indemnity

Customer will defend, indemnify and hold harmless Rabona, its affiliates and personnel from third-party claims, losses, penalties, costs and reasonable legal fees arising from Customer Data; Customer’s publication, redistribution or other use of source material or Service output; Customer’s products or integrations; breach of these Terms or the Acceptable Use Policy; or violation of law or third-party rights. Rabona will give prompt notice and reasonable cooperation, and Customer may control the defence, but may not admit Rabona’s fault or impose obligations on Rabona without written consent.

20. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profits, revenue, goodwill, anticipated savings, business opportunity or data, even if advised of the possibility. Rabona is not liable for third-party sources, publisher acts, Customer decisions, Customer integrations, unauthorised use of credentials caused by Customer, or failure to preserve data outside stated retention features.

Rabona’s aggregate liability arising from the Service in any rolling 12-month period will not exceed the fees Customer paid or owed for the Service during that period. For a free service, Rabona’s aggregate liability is capped at EUR 100. These limits apply to all theories of liability and all claims in aggregate. Nothing excludes liability that cannot lawfully be excluded or limited. Counsel must confirm any jurisdiction-specific carve-outs before publication.

21. Disputes and time limit

Before filing a claim, each party will give written notice describing the dispute and allow 30 days for good-faith resolution. To the extent permitted by law, a claim must be brought within one year after the claimant knew or should have known of the facts giving rise to it. The governing law and exclusive courts must be specified by qualified counsel using Rabona Tech LTD.’s confirmed place of incorporation and registered office before these Terms are published.

22. General

Neither party is liable for delay caused by events beyond reasonable control. Customer may not assign this agreement without Rabona’s written consent; Rabona may assign it to an affiliate or in connection with a merger, financing, reorganisation or sale of the relevant business. Rabona may use subcontractors while remaining responsible for its obligations. Notices may be sent through the Service, to the account email, or to the legal contact specified in an order form. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. Failure to enforce is not a waiver. This agreement is the entire agreement about the Service and creates no partnership, agency or third-party beneficiary.
